Terms of Service

Client: (“you”, “your”, “the Client”)
1. Overview of Services
Eazy Workflows provides digital automation and AI integration services designed to help businesses operate efficiently and increase sales. Our core offerings include:
AI-powered sales and support agents
Lead reconversion and inbound message handling
Automated follow-up and appointment booking systems
Workflow automation and backend integrations
Custom website builds and funnel development
These services are customized to your business goals and may integrate with your existing platforms (e.g. WhatsApp, Instagram, websites, CRMs, and other third-party tools).
2. Pricing & Payment
We offer two primary billing models:
A. Monthly Retainer
A fixed recurring fee covering:
Continuous AI agent access and hosting
Workflow automation maintenance
Regular updates and customer support
B. Performance-Based (Pay-As-You-Grow)
Billing based on measurable results, such as:
Verified booked appointments, or
A percentage of client revenue or CPA (Cost Per Acquisition)
Payment Terms:
Invoices are due within 7 days of issue unless otherwise agreed.
Late or missed payments may result in service suspension.
No refunds are provided once a service cycle begins unless expressly agreed in writing.
All pricing terms are governed by your signed Client Service Agreement, which forms part of these Terms.
3. Client Responsibilities
To ensure effective delivery, you agree to:
Provide accurate business details and maintain active communication.
Grant us access to necessary systems, data, and platforms.
Use all Eazy Workflows services in compliance with applicable laws and platform policies.
You must not:
Use services for spam, fraud, or unsolicited communications.
Reverse-engineer, copy, or resell Eazy Workflows systems or agents.
Upload or distribute illegally obtained data.
Failure to provide required access or information does not release you from payment obligations.
4. Free Trial or Demo Use
From time to time, we may offer limited trial or demo access.
Usage may be capped and monitored.
Reverse-engineering or unauthorized duplication is strictly prohibited.
We may terminate trial access immediately if misuse or abuse is detected.
5. Data & Privacy
You retain full ownership of all customer and lead data you provide. We will:
Use your data solely for operating and improving your services.
Not sell, rent, or share your data with third parties for unrelated purposes.
We may collect anonymized and aggregated analytics (e.g. performance metrics) for internal research and optimization.
You are responsible for ensuring that any personal data you provide complies with data protection laws such as POPIA (South Africa) and GDPR (if applicable).

6. Intellectual Property
All AI logic, automation workflows, scripts, designs, and backend code developed by Eazy Workflows remain our exclusive intellectual property.
You are granted a limited, non-transferable, non-exclusive license to use your assigned systems while your subscription is active. Upon cancellation or breach, this license terminates immediately, and we may revoke access to hosted assets.
This does not affect your ownership of your brand, CRM data, or customer relationships.
7. Platform & Legal Compliance
You are responsible for ensuring that your use of our services complies with all applicable laws and the rules of third-party platforms (e.g. WhatsApp, Instagram, Meta, or any CRM).
Prohibited behaviors include:
Messaging users outside permitted windows (e.g. WhatsApp’s 24-hour rule).
Mass or unsolicited messaging.
Misuse of automation that violates any platform’s terms of service.
Violation may result in immediate termination without refund.
8. Termination Policy
Either party may terminate the agreement with 30 days’ written notice.
Eazy Workflows may suspend or terminate services immediately if:
Payments are overdue.
You breach compliance or platform rules.
Misuse, abuse, or illegal activity is detected.
No refunds are issued for the current billing cycle after activation of services.
9. Liability & Limitations
While we aim to maintain reliable service, Eazy Workflows is not liable for:
Missed appointments or data loss caused by third-party systems.
Platform or API downtime.
Financial loss from incorrect AI responses or user misuse.
To the fullest extent permitted by law, our total cumulative liability shall not exceed one (1) month’s subscription fee paid under your current plan.
You remain responsible for all compliance, communication content, and business results.
10. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Republic of South Africa. Any dispute arising hereunder shall be resolved through binding arbitration in Johannesburg, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
If arbitration is not possible, the matter shall be referred to a court of competent jurisdiction in Gauteng.
11. Updates to These Terms
Eazy Workflows reserves the right to modify or update these Terms at any time. Updated versions will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
